Please read Section 15 carefully. It contains a binding arbitration agreement and class action waiver that affects how disputes between you and us are resolved, and how to opt out of it if you choose to.

These Terms of Service ("Terms") are a binding agreement between you and Enes Yildir, an individual developer operating the Hostly app ("Hostly", "we", "us", "our"). By creating an account, accessing, or using Hostly, you agree to these Terms. If you don't agree, don't use the app.

1. Eligibility

You must be at least 13 years old to use Hostly, and you must have the legal capacity to enter into a binding contract. By using the app, you represent that you meet these requirements and that the information you provide is accurate.

2. Your account

You're responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly if you believe your account has been accessed without your permission. We're not liable for any loss arising from unauthorized use of your account, though you may be liable for ours or others' losses caused by it.

3. Your content & license

Hostly lets you and other event members post content — messages, photos, expenses, bring-list items, poll questions/votes, RSVP responses, and ride offers ("User Content"). You keep ownership of your User Content. By posting it, you grant the other members of that event, and Hostly (solely to operate, host, and display the app), a non-exclusive, royalty-free, worldwide license to view, store, reproduce, and display it as part of the event for as long as it remains posted.

You're solely responsible for the User Content you post and represent that you have all rights necessary to post it. Don't post anything that is illegal, harassing, hateful, defamatory, sexually explicit, or that infringes someone else's intellectual property, privacy, or other rights.

We may investigate and take any action we deem appropriate, including suspending or terminating accounts, for violations of this section, in our sole discretion and without notice.

5. Assumption of risk

Hostly is a coordination tool for real-world, in-person gatherings. You understand and agree that attending, hosting, or traveling to or from any event organized using the app — including riding with or driving other users via the Rides feature — is entirely at your own risk. We do not screen, vet, background-check, or verify any user, host, driver, or passenger. You are solely responsible for exercising reasonable judgment and caution in all interactions with other users, whether online or in person.

6. No payment processing

The Expenses and Settle Up features are bookkeeping tools only — they help a group track who paid for what and what's owed. Hostly does not process, transmit, hold, or guarantee any payment, is not a party to any transaction between users, and is not a money transmitter, payment processor, or financial institution. Any actual payment or settlement between users happens entirely outside the app, by whatever means those users agree to. We are not responsible for unpaid debts, incorrect amounts, or disputes about money between users.

7. Ride-share disclaimer

The Rides feature lets users post and claim carpool offers. Hostly is not a transportation company, transportation network company, or common carrier, does not own or operate any vehicle, and does not employ or contract with any driver. We do not verify that any driver is licensed, insured, or fit to drive, and we don't provide insurance for any ride arranged through the app. Arranging or accepting a ride through Hostly is solely between the users involved.

8. Third-party services

Hostly relies on third-party services to operate — including cloud hosting/database infrastructure and Apple/Google's push notification systems. We're not responsible for outages, delays, data loss, or failures caused by those third-party services, or for their own terms and privacy practices.

9. Release of claims against other users

Because Hostly connects you with other users who post their own content and organize their own events, you release Enes Yildir from any and all claims, demands, and damages of any kind arising out of or in any way connected to disputes with, or the conduct of, other users — including any User Content, event, ride-share, or expense/payment dispute — whether known or unknown to you at the time of this release.

10. Event ownership & group content

Events are shared spaces. The event owner (and any co-owner they designate) can manage event settings, invite or remove guests, and moderate content within that event. If you leave or are removed from an event, you lose access to that event's content, though it remains visible to the remaining members.

11. Feedback

If you send us feedback, suggestions, or ideas about Hostly, you grant us an unrestricted, perpetual, royalty-free license to use them for any purpose, without any obligation or compensation to you.

12. Account & content deletion

You can delete your account at any time from within the app. Deleting your account is permanent and removes your profile and the content you've personally authored. If you own events with other members, you'll need to resolve those (delete the event or otherwise hand it off) before your account can be deleted, since removing them would affect everyone in the event.

13. Termination

We may suspend or terminate your access to Hostly at any time, with or without notice, for any reason or no reason, including if we believe you've violated these Terms. Upon termination, your right to use the app ends immediately; sections of these Terms that by their nature should survive termination will survive (see Section 20).

14. Disclaimers of warranty

Hostly is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the app will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the app is free of harmful components.

We're not responsible for the conduct of any user, the accuracy of event details or User Content posted by users, or for anything that happens at an event organized using the app. Features may be changed, limited, or discontinued at any time. We don't guarantee any particular data retention or backup — don't rely on Hostly as your only copy of photos, receipts, or other important content.

Some jurisdictions don't allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

15. Dispute resolution: arbitration agreement & class action waiver

Please read this section carefully — it affects your legal rights.

a. Informal resolution first

Before filing a claim against us, you agree to try to resolve the dispute informally by emailing us a description of the issue. We'll try to resolve it within 60 days. Most disputes can be resolved this way.

b. Binding arbitration

If a dispute isn't resolved informally within 60 days, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Hostly will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, conducted in English, and may be conducted by telephone or video conference or in Maryland. This arbitration agreement is governed by the Federal Arbitration Act.

c. Class action & jury trial waiver

You and we each waive any right to a jury trial, and to participate in a class action, class arbitration, or representative action. Disputes will be arbitrated only on an individual basis.

d. How to opt out

You may opt out of this arbitration agreement by emailing us at the address in Section 22 within 30 days of first accepting these Terms, stating that you opt out of arbitration. If you opt out, neither you nor we are bound by the arbitration provisions above, but every other part of these Terms still applies.

e. Severability of this section

If the class action waiver is found unenforceable for a particular dispute, that dispute may proceed in court, but the rest of this arbitration agreement still applies to all other disputes.

16. Limitation of liability

To the fullest extent permitted by law, in no event will Enes Yildir be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of data, profits, revenue, or goodwill, arising out of or related to your use of Hostly, any event organized through it, any ride-share, or any transaction or dispute between users, even if advised of the possibility of such damages and even if a remedy fails of its essential purpose. Our total cumulative liability for any and all claims arising from these Terms or the app will not exceed the greater of fifty U.S. dollars ($50) or the amount you paid us, if any, in the 12 months before the claim arose.

Some jurisdictions don't allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not fully apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless Enes Yildir from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: your use of Hostly; your User Content; your violation of these Terms; your violation of any law or the rights of a third party; or any event, ride-share, or transaction you participate in or organize through the app.

18. Governing law

These Terms are governed by the laws of the State of Maryland, USA, without regard to its conflict-of-law principles, except that arbitration agreements are governed by the Federal Arbitration Act as described in Section 15.

19. Copyright complaints (DMCA)

If you believe content on Hostly infringes your copyright, send a notice to the email in Section 22 including: (1) a description of the copyrighted work; (2) the location of the allegedly infringing material within the app; (3) your contact information; (4) a statement that you have a good-faith belief the use is not authorized; (5) a statement, under penalty of perjury, that the notice is accurate and you're authorized to act on the copyright owner's behalf; and (6) your physical or electronic signature. We'll respond to valid notices, including by removing or disabling access to the reported material, and may terminate accounts of repeat infringers.

We may modify or discontinue the app, or update these Terms, at any time. If we make material changes, we'll update the "Last updated" date above. Continuing to use Hostly after changes take effect means you accept the updated Terms; if you don't agree, stop using the app.
